Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the SIRAXA platform, including the web application, mobile apps, and any related services (collectively, the “Service”) operated by SIRAXA (“we”, “us”, or “our”).

SIRAXA is a multi-sport platform that connects participants through organizations, clubs, teams, tournaments, and leagues. By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

You must be at least 16 years of age, or the age of digital consent in your jurisdiction, to create an account. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. Profiles for minors may be created and managed by a verified guardian within the Service.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to keep your profile information updated. You must not share your account credentials or allow others to access your account.

We may suspend or terminate access if we believe your account has been compromised, used in violation of these Terms, or otherwise poses a risk to the Service or its users.

SIRAXA enables members to organize and participate through organizations, clubs, teams, leagues, tournaments, and other competition structures. Administrators and organizers you designate may manage rosters, schedule events, assign roles, and communicate with members. Depending on the entity, these may include organization administrators, club administrators, team managers and captains, tournament organizers, and league administrators (collectively, “Administrators”).

You acknowledge that participation data, including availability responses, squad and role assignments, and member information, may be visible to authorized Administrators within the relevant entity. Administrators are responsible for managing their entities in compliance with these Terms and applicable law; SIRAXA is not a party to the relationship between a member and their organization, club, team, league, or tournament.

Tournaments and leagues may offer registration, team entry, divisions, and invitation-based participation. Registrations may include eligibility checks, rosters, documents, waivers, and fees. Invitations may be sent by Administrators or organizers to join teams, clubs, tournaments, leagues, or organizations.

You agree to provide truthful registration and eligibility information and to respect the rules and deadlines set by each competition. Eligibility and division placement are determined by the relevant Administrators; SIRAXA facilitates these workflows but does not guarantee acceptance into any competition.

The Service supports schedules, fixtures, match assignments, standings, and results for competitions. Schedules and fixtures may be created, imported, or rescheduled by Administrators. Standings and results are derived from scoring data and may be displayed publicly or to competition participants as configured by the Administrators.

You acknowledge that schedules, fixtures, venues, and results may change, including due to rescheduling, withdrawals, weather, or administrative decisions, and that SIRAXA relies on the data entered by Administrators and scorers.

Competitions may assign officials such as umpires, referees, and scorers. Officials may be volunteers, members, or professionals. You agree to treat officials with respect and to follow their lawful decisions during matches. Misconduct toward officials may result in suspension or termination under these Terms and any applicable competition or league discipline rules.

The Service includes scoring tools that capture ball-by-ball and match-level data, player performance, results, statistics, and analytics across supported sports. You acknowledge that scoring data you or others contribute becomes part of the shared match record and may be displayed in scorecards, standings, statistics, rankings, and analytics features visible to other members and, where applicable, the public.

You agree to enter scoring data accurately and in good faith. SIRAXA does not guarantee the accuracy or completeness of user-entered scoring or analytics data and is not responsible for outcomes determined by Administrators or officials based on that data.

The Service may allow matches and events to be broadcast, streamed, or recorded, and may display overlay graphics, statistics, and live commentary derived from scoring data. If you participate in or attend a broadcast event, you acknowledge that your image, voice, and performance may be captured and shared as part of that broadcast. Broadcasts may be made available to viewers inside or outside the Service as configured by the relevant Administrators.

The Service provides announcements, messages, and notifications to support communication within and across organizations, clubs, teams, tournaments, leagues, and matches. You agree to use these features respectfully and in accordance with these Terms. You may manage certain notification preferences within the Service.

Some features may require payment of fees, such as club plan subscriptions, tournament and league registration, team entry, membership fees, or other charges set by Administrators. Unless otherwise stated at the point of purchase, fees are non-refundable. Pricing, feature availability, and eligibility may change; material changes to fees you have already paid will be communicated in advance where required.

You may submit profile information, posts, photos, videos, and other content to the Service. You retain ownership of content you submit and grant SIRAXA a worldwide, royalty-free license to host, store, use, and display that content within the Service as necessary to operate its features. You represent that you have the rights to submit any content you provide and that it does not violate applicable law or third-party rights.

Broadcasts, scorecards, and media may feature participants’ names, images, and performance data as part of the Service’s competition and community features.

You agree not to:

• Use the Service for any unlawful, fraudulent, or abusive purpose;
• Harass, threaten, or discriminate against other members, officials, or Administrators;
• Submit false, misleading, or infringing scoring, registration, eligibility, or profile data;
• Attempt to access data or systems you are not authorized to access;
• Interfere with the Service’s operation, broadcasts, scoring integrity, or competitions;
• Scrape, resell, or redistribute Service data without permission.

The Service, including its branding, software, design, and original content, is owned by SIRAXA and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial sports participation in accordance with these Terms.

The Service is provided “as is” and “as available”. To the extent permitted by law, SIRAXA disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that scoring, standings, or analytics data is accurate or complete.

To the maximum extent permitted by law, SIRAXA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising from the Service is limited to the amount you paid us in the preceding twelve months, or the minimum amount required by law.

You agree to indemnify and hold SIRAXA harmless from claims, damages, and expenses arising out of your use of the Service, your violation of these Terms, your conduct toward other members or officials, or your infringement of any third-party rights.

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or for any other business or legal reason. Upon termination, your right to use the Service ceases, though certain data may be retained as described in the Privacy Policy or as required by law.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where required, seek your renewed acceptance. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the courts of British Columbia for any dispute arising from these Terms or the Service.
